These Terms of Service ("Terms") apply to your use of the California Entity Filing Services website and services. By using our website or placing an order, you agree to these Terms.
1. Who we are
California Entity Filing Services ("we," "us") is a private company. We are not affiliated with, endorsed by or approved by the State of California, the California Secretary of State or any governmental entity. You are not required to use our service. You can file your Statement of Information yourself directly with the California Secretary of State.
2. What we do
We prepare and file California Statements of Information for corporations and limited liability companies. We load your company's information from the Secretary of State record, you review and confirm it, and an Enrolled Agent tax professional reviews and files it with the California Secretary of State through bizfile Online.
3. Your responsibilities
- You confirm that you are authorized to act for the company you are filing for.
- You are responsible for reviewing the information on your filing page and for the accuracy and completeness of what you confirm and sign. We file the information you approve.
- You must give us the access we need to file for you. The Secretary of State requires your approval before we can file. After you pay, California sends an access request to your company's email address on file, and you approve it in bizfile Online. If your company has never used bizfile Online, California mails a PIN letter, and you send us the PIN. We cannot file until we have your approval or your PIN.
- You are responsible for keeping your contact details current so we can reach you.
4. Price and payment
The price is a flat $100 per Statement of Information, the same for corporations and LLCs. The California Secretary of State filing fee is included in that price. There are no other charges for this service. Payments are processed by Stripe, a third-party payment processor.
5. Filing and confirmation
After we have your confirmed information, your payment and your approval or PIN, we file your Statement of Information and email you the confirmation. Timing depends in part on you and on the Secretary of State, including how quickly the access request is approved or a PIN letter arrives. We do not control the Secretary of State's systems, processing or decisions, and we cannot guarantee that a filing will be accepted or processed by a particular date.
6. Free 30-minute call
After your filing is confirmed, you earn one free 30-minute call with an Enrolled Agent tax professional. The call is optional, there is nothing extra to pay, and it must be booked within 30 days after your confirmation. One call is included per filing. The call is a general conversation about your filing, your tax planning or your business. It does not create a separate engagement for tax return preparation or other services unless we agree to that in writing.
7. Refunds
If we are unable to file your Statement of Information, we will refund your payment. Please email us at support@californiaentityfilingservices.com with your company name and we will review your request.
8. No legal advice
Our website and filing service provide general information and filing preparation. They are not legal advice. If you need legal advice, please consult an attorney.
9. Limitation of liability
To the fullest extent allowed by law, our total liability to you for any claim related to our service is limited to the amount you paid us for the filing involved. We are not liable for indirect, incidental or consequential damages, including penalties or fees that result from information you provided or confirmed, from delays caused by the Secretary of State, or from a delay in your approving access.
10. Website use
You agree not to misuse the website, attempt to access it without permission, or use it for unlawful purposes. The website, its text and its design belong to California Entity Filing Services.
11. Changes to these Terms
We may update these Terms from time to time. The date at the top shows when they were last updated. If you place an order after an update, the updated Terms apply.
12. Governing law
These Terms are governed by the laws of the State of California. Any dispute will be handled in the state or federal courts located in San Diego County, California.
